Terms of Service

Last updated: October 25, 2026

These Terms of Service ("Terms," "Agreement") govern use of the Veiled Wire service (the "Service") by any business or individual that creates an account ("Customer," "you"). The Service is operated by Veiled Wire, LLC ("Company," "we," "us"), a company organized under the laws of the State of Arizona. You are contracting with Veiled Wire, LLC. By creating an account or using the Service, you agree to these Terms, and your continued use of the Service means you continue to agree to them.

1. Nature of the Service; Limited Retention of Wire Information

The Service is a secure delivery utility for banking and wire instructions. Company provides a secure portal hosted via third-party cloud infrastructure and sends recipients links to encrypted instructions using third-party telecommunications and electronic mail providers. Banking routing numbers, account numbers, and related wire instructions that Customer submits (collectively, "Wire Information") are encrypted with AES-256 before they are stored, using an encryption key held in a separate key-management service and not in Company's database. Wire Information is stored in encrypted form only until the recipient views it or the link expires, which occurs 72 hours after the link is created, whichever happens first. At that point Company erases the encrypted Wire Information and cannot retrieve it. Company's systems decrypt Wire Information only to display it to a recipient who has completed identity verification for that instruction. Company does not store Wire Information in readable form. Company keeps an activity log for each instruction, such as when it was created, when a verification code was sent, verification attempts, and when it was viewed or expired. The activity log does not contain Wire Information.

PDF attachments (Veil Unlimited). Customers on the Veil Unlimited plan may attach one PDF file to an instruction ("Attached File"). Customer represents that it has the right to share each Attached File and that it contains no malware, active content or unlawful material. Company checks each upload for scripts and other active content and may reject any file, and may scan it with antivirus software. Each Attached File is encrypted with its own key before it is stored, is made available for download only to a recipient who has completed identity verification for that instruction, and may be downloaded a limited number of times. Company erases the Attached File when the instruction's link expires after 72 hours, and erases an upload that is never attached to an instruction within about one hour. Company cannot retrieve an erased file. Company does not review the content of Attached Files, and Customer is responsible for removing information it does not wish to share. Recipients should open Attached Files with care and only after confirming the sender through a trusted channel. These checks reduce risk but do not guarantee that a file is free of harmful content.

2. API Integration and Security Responsibilities

To the extent that Customer accesses the Service via an Application Programming Interface (API), Customer acknowledges and agrees to the following:

  • Credential Security: Customer bears sole and exclusive responsibility for protecting, securing, and rotating all API keys, access tokens, and webhooks associated with its account.
  • API Payload Integrity: Customer is entirely liable for the integrity of any payload data transmitted via the API. Company does not filter, validate, or audit API calls for unauthorized modification, payload injection, or malicious data alteration.
  • Rate Limits and Availability: Company reserves the right to impose rate limits or temporarily suspend API endpoints to protect system stability. Company shall have no liability for data drops, transmission delays, or unexecuted wire requests resulting from API throttling or misuse.

3. Customer Responsibility for Accuracy and Authorization

Customer bears sole and exclusive responsibility for:

  • The accuracy, validity, and legitimacy of all Wire Information entered into the secure portal or transmitted via API.
  • Verifying the identity of the intended recipient prior to triggering any automated email or SMS transmission.
  • Ensuring that any administrative accounts, API keys, or access credentials used to access the secure portal are restricted to authorized personnel.

Company does not independently verify, audit, or double-check Wire Information for errors, typos, or fraudulent alteration.

4. Wire Fraud, Interception, and BEC Disclaimer

CUSTOMER ACKNOWLEDGES THAT WIRE FRAUD, INTERCEPTION, AND BUSINESS EMAIL COMPROMISE ("BEC") ARE INHERENT RISKS OF ELECTRONIC COMMUNICATION.

  • No Liability for Telecom/Email Intercepts: Company utilizes industry-standard encryption protocols for data in transit. However, Company does not control, and shall not be liable for, vulnerabilities, intercepts, spoofing, or security failures occurring on third-party networks, cellular carriers, internet service providers, or the recipient's local email/SMS client environment.
  • Independent Out-of-Band Verification Mandatory: Customer explicitly acknowledges that it is a commercial best practice to perform independent, verbal, out-of-band verification (e.g., a phone call to a known, trusted number) prior to executing any financial wire transfer. Company shall have no liability for financial losses resulting from a party's failure to perform out-of-band verification.

5. Absolute Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPANY, ITS AFFILIATES, OR ITS THIRD-PARTY PROVIDERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO WIRE FRAUD, MISDIRECTED FUNDS, UNAUTHORIZED ACCOUNT ALTERATION, COMPROMISED API CREDENTIALS, OR THE INTERCEPTION OF WIRE INFORMATION.

COMPANY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO COMPANY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

6. Customer Indemnification

Customer agrees to defend, indemnify, and hold harmless Company, its officers, directors, employees, and third-party infrastructure providers from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Any financial loss, fraud, or misdirected funds resulting from wire instructions transmitted via the secure portal or API.
  • Any third-party claim brought by Customer's recipients or customers alleging fraudulent wire instructions or loss of funds.
  • Customer's violation of any applicable financial regulations or federal security frameworks.
  • Any unauthorized access, data breach, or fraudulent transmission originating from compromised Customer API keys or system configurations.

7. Subscription plans and billing

  • Veiled Wire is offered on a subscription basis. Current plans and prices are shown on our website and on the Billing page, and may change with notice.
  • Subscriptions are billed monthly in advance, in US dollars. Prices do not include applicable taxes (such as sales tax or VAT), which are calculated and collected at checkout.
  • New accounts receive a 7-day free trial. A valid payment method is required before you may send your first Veiled instruction, and it will not be charged until the trial ends. Unless you cancel before the trial ends, your paid subscription begins automatically and renews every month until canceled.
  • You may cancel at any time from the Billing page. After you cancel, your plan remains active through the end of the current billing period (or, during a free trial, until the trial ends, without charge) and you will not be billed again.
  • Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns and refunds. Your purchase is also subject to Paddle's Buyer Terms.
  • Exceeding your plan's Veil limit will prevent you from sending further instructions until you upgrade your plan or your usage resets at the start of the next billing period.

8. Refunds

You may request a refund of a subscription payment within 14 days of the date of the transaction, for any reason. Refund requests are handled by Paddle, our Merchant of Record: use the support link on your receipt or billing page, or visit paddle.net. You may also email support@veiledwire.com and we will help. Approved refunds are returned to your original payment method. Cancelling stops future billing, but a cancellation by itself does not refund a payment that has already been made. Please see our Refund Policy for details.

9. Acceptable Use

You agree not to use the Service to:

  • violate any law or regulation;
  • send fraudulent, misleading, or unauthorized payment instructions, or impersonate any person or business;
  • send spam or unsolicited messages, including verification codes to people who have not asked for them;
  • infringe the intellectual property or other rights of anyone; or
  • interfere with or compromise the security of the Service, including by introducing malware, probing or testing for vulnerabilities without our written permission, scraping, or attempting to gain unauthorized access to any account or system.

10. Intellectual Property

Veiled Wire, LLC retains all ownership of the Service and everything in it, including its software, design, text, graphics, and trademarks. These Terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing. You keep ownership of the information you submit to the Service.

11. Service Availability

We work to keep the Service available, but we do not guarantee that it will be uninterrupted, timely, secure, or error-free. To the maximum extent permitted by law, the Service is provided "as is" and "as available."

12. Suspension and Termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay fees when due, create a security or fraud risk, or repeatedly or seriously violate these Terms. You may cancel your subscription at any time as described in section 7.

13. Governing Law, Jurisdiction, and Venue (Arizona)

This Agreement, and any dispute, claim, or controversy arising out of or relating to it, shall be governed by, interpreted, and enforced in accordance with the laws of the State of Arizona, without regard to its conflict of law principles.

The parties explicitly agree that any legal action, suit, or proceeding arising under this Agreement must be instituted exclusively in the state or federal courts located in Pima County, Arizona. Each party irrevocably submits to the personal jurisdiction of such courts and waives any objection regarding improper venue or inconvenient forum.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated version on this page with a new "Last updated" date. Continued use of the Service after changes take effect means you accept the updated Terms.
